
Subscription Terms

These Subscription Terms ("Terms"), available at www.getsocialscale.com/subscription_terms, govern your subscription to Scale Social services. By subscribing through our online checkout or executing an Order, you agree to these Terms and our Master Service Agreement at www.getsocialscale.com/msa (the "Agreement"), which is incorporated by reference.
ARTICLE I - ACCEPTANCE OF TERMS
1.1 Acceptance. By clicking "I Agree," "Subscribe," completing a purchase through our checkout process, or executing an Order, you: (a) confirm you have read and agree to these Subscription Terms; (b) confirm you have read and agree to the Master Service Agreement; (c) represent you have authority to bind your organization to these terms; and (d) acknowledge your subscription will automatically renew unless cancelled.
1.2 Electronic Agreement. When you subscribe online or execute an Order, we record your acceptance. This electronic record constitutes legally binding acceptance equivalent to a handwritten signature, pursuant to the E-SIGN Act (15 U.S.C. § 7001 et seq.).
1.3 Terms Updates. We may update these Terms with sixty (60) days notice via email. Continued use constitutes acceptance. Material adverse changes allow termination within thirty (30) days of notice.
ARTICLE II - DEFINITIONS
2.1 "Location" means a single physical business address where Customer operates and for which Services are provided.
2.2 "Order" means any Subscription Schedule, quote, invoice, or other ordering document executed by Customer or accepted through our checkout process that references these Terms and specifies the services, pricing, and other terms for your subscription.
ARTICLE III - SUBSCRIPTION PACKAGES
The following packages are available at standard per-location pricing. Custom pricing may be specified in your Order.
3.1 Essential - Social Visibility Engine.
(a) Pricing. $1,000 per month per Location.
(b) Platform & Content. Scale Social platform access; UGC content collection and curation system; one (1) AI-assisted short-form video per month per Location.
(c) Advertising. Meta (Facebook + Instagram) advertising only; managed campaigns with geotargeting and interest-based audience targeting.
(d) Analytics & Support. Standard analytics dashboard; monthly performance reporting; email customer support (initial response within five (5) business days).
(e) Channel Exclusions. Google PMAX and TikTok are not included in this package.
3.2 Growth - Social Distribution Engine.
(a) Pricing. $1,500 per month per Location.
(b) Platform & Content. Everything in Essential, plus two (2) AI-assisted short-form videos per month per Location.
(c) Advertising. Meta (Facebook + Instagram) + TikTok advertising; advanced audience targeting (lookalike audiences, retargeting).
(d) Analytics & Support. Enhanced analytics with channel breakdown; priority customer support (initial response within two (2) business days).
(e) Channel Exclusions. Google PMAX is not included in this package.
3.3 Pro - Performance Engine.
(a) Pricing. $2,000 per month per Location.
(b) Platform & Content. Scale Social platform access; UGC content collection and curation system; three (3) AI-assisted short-form videos per month per Location.
(c) Advertising. Google Performance Max (PMAX) advertising only; offline conversion tracking for location visits; advanced audience targeting and optimization.
(d) Analytics & Support. Advanced analytics with conversion tracking; quarterly strategy sessions (4 per year); priority customer support (initial response within one (1) business day).
(e) Channel Exclusions. Meta and TikTok are not included in this package.
3.4 Enterprise. Custom pricing for multi-location businesses, custom feature requirements, or volume pricing. Contact sales@scalesocialai.com. Enterprise pricing will be specified in your Order.
3.5 Custom Orders. If you receive a custom quote, invoice, or Order specifying different pricing or terms, that Order controls over the standard pricing listed above. All other terms in these Subscription Terms and the Agreement remain in effect.
ARTICLE IV - PRICING
4.1 Per-Location Pricing. All standard package pricing is per Location. Your total monthly fee equals the number of Locations multiplied by the per-Location fee for your selected package. Example: A customer with 3 Locations on the Essential package pays $1,000 × 3 = $3,000 per month.
4.2 Custom Pricing. Custom pricing, volume discounts, or promotional rates will be specified in your Order and control over the standard per-Location rates.
ARTICLE V - TERM STRUCTURE
5.1 Initial Term. Twelve (12) months (or as specified in your Order).
5.2 Pilot Period. The first three (3) months of the Initial Term constitute the Pilot Period.
5.3 Pilot Period Termination. Customer may cancel during the Pilot Period with fifteen (15) days written notice prior to Pilot end. Customer remains obligated to pay all fees through the end of the Pilot Period. If Customer does not cancel, Customer commits to the remaining nine (9) months of the Initial Term.
5.4 Auto-Renewal. Subscriptions automatically renew for successive twelve (12) month Renewal Terms. To cancel, provide thirty (30) days written notice prior to term end.
ARTICLE VI - FEES AND PAYMENT
6.1 Payment Schedule. First payment is charged on Day 14 after subscription activation (or as specified in your Order). Services commence on Day 15 after subscription activation. Subsequent payments are charged monthly on the anniversary of the first payment. All fees are in U.S. Dollars. Payment is due within fifteen (15) days of the charge date.
6.2 Payment Methods. ACH transfer, wire transfer, or credit card. We may auto-charge your payment method on file for recurring fees.
6.3 Annual Prepayment Discount. Pay for your full term in advance via ACH or wire transfer and receive a 2.5% discount (or as otherwise specified in your Order).
6.4 Late Payment. Late fees accrue at 1.5% per month. Services may be suspended after thirty (30) days past due (five (5) business days notice). Non-payment is a material breach with 10-day cure period.
ARTICLE VII - ADDITIONAL SERVICES
7.1 Optional Services. Services beyond package inclusions are billed monthly in arrears at the following standard rates, unless otherwise specified in your Order: Extended Ad Management at 15% of advertising spend beyond package inclusion; Additional AI Videos at $250.00 per video; Additional Editing Rounds at $150.00 per hour; Extended Training at $150.00 per hour; Strategy Sessions (beyond Pro allocation) at $300.00 per session; Other Services at $150.00 per hour (requires prior written approval).
7.2 Agency Services. In addition to subscription packages, we offer Agency Services including video production, photography, creative strategy, and custom marketing projects. Agency Services are scoped and priced in your Order (quote, invoice, or Statement of Work). By paying for Agency Services, you agree to the scope and pricing in your Order and the terms in the MSA at www.getsocialscale.com/msa. Agency Services are priced as quoted. Hourly services are billed at one hundred fifty dollars ($150) per hour unless otherwise specified in your Order. Deliverables are deemed accepted five (5) business days after delivery unless you provide written notice of non-conformance.
ARTICLE VIII - IMPLEMENTATION
8.1 Timeline. Days 1-5: Customer provides brand assets, ad account access, and onboarding questionnaire. Days 1-14: Provider configures platform, deploys QR codes, and conducts strategy session. Day 14: First payment charged. Day 15: Services commence and advertising campaigns begin.
ARTICLE IX - LOCATION MANAGEMENT
9.1 Adding Locations. Customer may add Locations by contacting support@scalesocialai.com. Additional Locations are billed at the per-Location rate for the applicable package, pro-rated for the current billing period.
9.2 Removing Locations. Contact support@scalesocialai.com to request removal. Removals and fee adjustments require mutual written agreement. Subscription Fees remain due at the current rate until any adjustment is confirmed in writing.
ARTICLE X - CANCELLATION AND REFUNDS
10.1 How to Cancel. Send written notice to support@scalesocialai.com with your business name, account email, and requested cancellation date.
10.2 Refund Policy. Monthly Fees are non-refundable once billing period has commenced. Annual Prepayments are non-refundable.
10.3 Early Termination. If you cancel before term ends (other than during Pilot Period or for cause), you remain responsible for all fees through your commitment period.
ARTICLE XI - SERVICE LEVEL
11.1 Customer Support Hours. Monday through Friday, excluding company holidays. Channel: Email.
11.2 Initial Response Time. Essential: Five (5) business days. Growth: Two (2) business days. Pro: One (1) business day. Or as specified in your Order.
ARTICLE XII - CUSTOMER RESPONSIBILITIES
12.1 Obligations. By subscribing, Customer agrees to: (a) provide accurate business and billing information; (b) maintain valid payment method on file; (c) provide timely access to advertising accounts and brand assets; (d) comply with all applicable laws and platform policies; and (e) review and approve content before publication.
ARTICLE XIII - GOVERNING DOCUMENTS
13.1 Order of Precedence. These documents work together. In case of conflict, the following order of precedence applies: (a) Your Order (Subscription Schedule, quote, or invoice); (b) These Subscription Terms; (c) The Master Service Agreement.

By subscribing to Scale Social, you acknowledge that you have read, understood, and agree to be bound by these Subscription Terms and the Master Service Agreement.
